Terms of Service
These Terms govern your use of Mortgage Pipeline Machine ("MPM", "the Service") operated by Bibek Bhandari, sole proprietor (the "Provider"). By using MPM, signing the Service Agreement, or paying an invoice, you ("Broker", "you") agree to these Terms.
A separate Service Agreement is signed for each engagement, covering pricing, scope, SLAs, and cancellation. These Terms apply on top of that and don't replace it.
1. The service
MPM provides:
- A done-for-you deployment of a mortgage pipeline automation system, including core automation workflows, secure portal lookup workflows, and a private dashboard.
- Ongoing operation, monitoring, and adjustment of that system per the tier you pay for.
- Free public tools (calculators, etc.) accessible without an account.
MPM is not a regulated financial institution, mortgage broker, lender, lawyer, or accountant. We don't give financial or legal advice. The Service is a tool for licensed mortgage professionals to run their own businesses.
2. Account eligibility
You must be:
- At least 18 years old
- A licensed mortgage broker, agent, or otherwise legally permitted to operate as one in your jurisdiction (or representing a brokerage firm that is)
- Authorized to enter into binding contracts on behalf of your business
2A. Team access and shared workspace
Your MPM subscription lets you add additional users (admins, assistants, read-only viewers) to a single account, up to the limits of your tier.
- Account owner responsibility. The account owner is responsible for every user they invite. Actions taken by any user on the account (deleting records, sending emails, updating deal stages, etc.) are treated as actions of the account owner for the purposes of these Terms and for any downstream contact with clients or partners.
- Shared credentials and shared systems. A single MPM account uses one Google Sheet, one Google OAuth grant, one n8n workspace, one Gmail sending identity, and one billing subscription — all of which are shared among every user you invite to your account. Any user with sufficient role can trigger workflows that send email or write to the sheet on the account's behalf. We do not provide per-user credential isolation.
- Role scopes. Owner (full access + billing + team management), Admin (full access except billing/team), Assistant (add and update, no deletion or settings changes), Read-only (view only). Role scopes are enforced by our system but are a convenience layer, not a compliance boundary — the account owner is responsible for granting only the access each teammate needs.
- Removing users. You must promptly remove users from your MPM account when they leave your brokerage or no longer need access. We are not liable for actions taken by a user who was never removed.
- Audit log. An audit log of user actions is available to the account owner. We retain the log for 12 months.
- Cross-account isolation. Data belonging to one MPM account is never visible to users of another MPM account. Row-level security in our database enforces this; teammates only see data for the account(s) they belong to.
3. Acceptable use
You agree not to:
- Use MPM to send unsolicited mass email outside what you have explicit consent to send (CASL, CAN-SPAM, GDPR all apply to you, not us)
- Resell, white-label, or sub-license MPM without explicit written permission
- Reverse-engineer, decompile, or copy the workflows or dashboard code
- Use MPM in a way that violates Canadian, US, or any applicable law (e.g. predatory lending, fraud)
- Interfere with other brokers' deployments, share credentials outside authorized teammates, or attempt to access data belonging to another MPM account
- Invite teammates who are not authorized to view your clients' personal information under your jurisdiction's privacy laws
Violating these may result in account suspension without refund.
4. Fees and payment
- Setup fee — one-time, due before deployment begins. Non-refundable once build work has started (defined in the Service Agreement).
- Monthly retainer — charged in advance on the same calendar day each month via Stripe.
- Tool costs — Google Workspace and n8n Cloud subscriptions (~$20/mo combined) are your responsibility, billed directly by those providers.
- Failed payment — we attempt to retry for 7 days. After that, we pause the deployment. Workflows stop running until payment is resolved.
5. Cancellation
- Cancel anytime by emailing mortgagepipelinemachine@gmail.com with 30 days' written notice.
- 30-day notice gives us time to gracefully wind down workflows and hand over credentials.
- You keep your Google Sheet (the CRM), your client list, your partner list, your email history — they live in your Google Drive, you own them.
- You lose access to the dashboard and the workflows (they are turned off and your access revoked).
- No refund of the current month's retainer after cancellation begins.
6. Service level commitment
The Service Agreement defines the SLA for your tier. Generally:
- Standard tier: 48-hour response on support requests, business days. ~99% workflow uptime target.
- Pro tier: 24-hour response, 7 days. ~99.5% workflow uptime target.
If we miss SLA for two consecutive months, you get a one-month credit. That's the entire remedy — there are no consequential damages payable.
7. Intellectual property
- Your data — yours. Always. Including your client list, partner list, email history, and configurations.
- MPM software (workflows, dashboard, tools) — licensed to you, not sold. We retain ownership. License terminates on cancellation.
- Your improvements — if you suggest a workflow, tweak, or feature and we build it, it becomes part of MPM and may be deployed to other brokers (your specific data and identifiers are never shared).
8. Disclaimers
MPM is provided "as is". We make no warranty that it will be uninterrupted, error-free, or meet your specific business needs. Mortgage pipelines fail for many reasons — bad data entry, lender delays, market changes, client behavior — and MPM cannot fix all of them. It is a tool, not a guarantee.
To the maximum extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.
9. Liability
Our total liability to you for any claim arising out of or related to the Service is limited to the amount you have paid in retainer fees in the 3 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost deals, lost commission, or reputational harm.
This limitation applies even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless the Provider against any claim, loss, or expense arising from (a) your misuse of the Service, (b) your violation of any law in connection with your use of the Service, or (c) any claim by your clients or partners arising from how you operate your brokerage business.
11. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada. Disputes that can't be resolved by good-faith negotiation will be heard in the courts of Ontario.
12. Changes to these Terms
We may update these Terms occasionally. Material changes (anything affecting your fees, SLA, or rights) will be emailed to all active customers at least 30 days before they take effect. Continued use after the effective date is acceptance of the new Terms.
